Board of Directors

Usually the bylaws of the Corporation specify the size of the board. The number may be changed by amendment to the bylaws; or the bylaws will specify a range within which the number may be set by simple resolution of the directors or shareholders.
Directors are elected by the shareholders. Usually the election takes place at the annual shareholders meeting. The bylaws of the Corporation may specify the procedure of the election of directors of the board: the vote may required the majority of the present and voting at he meeting, directors may be elected at a special meeting, or withut there being a meeting at all. (Check your bylaws)
